Terms of Service — goldprice.dev

1. Acceptance

These Terms of Service ("Terms") govern your access to and use of the goldprice.dev website, API, Model Context Protocol server, documentation, and related services (collectively, the "Service") provided by Nusantara Ventures LLC ("we", "us", "our"). By creating an account, subscribing to a paid tier, or otherwise accessing the Service, you ("you", "Customer") agree to be bound by these Terms. If you do not agree, do not use the Service.

We may revise these Terms from time to time. Material changes will be communicated via email to the address on your account at least 30 days before they take effect. Continued use after the effective date constitutes acceptance. Archived versions of these Terms are available at /terms/archive.

2. The Service

The Service provides aggregated gold, silver, and copper pricing data (spot and futures, where available per commodity), including prices in multiple currencies, historical time series, related metadata, and published newsletter content ("Gold Brief" back-issues), via REST API, Model Context Protocol (MCP) server, and web interfaces.

The data served through the Service is aggregated public reference data computed from multiple public sources according to a published methodology at /methodology. The Service does not hold a redistribution license from any specific benchmark administrator (such as ICE Benchmark Administration, CME Group, or the London Bullion Market Association) and does not claim to represent official benchmark rates. The Service also exposes daily futures settlement prices (CME COMEX GC for gold, SI for silver, and HG for copper, accessed via public delayed feeds) and returns every contributing upstream source as a separate row in a sources[] array in every response, with per-source license attribution published at https://goldprice.dev/methodology.

3. Accounts and Credentials

You are responsible for all activity under your account. API keys issued by the Service are confidential credentials. You agree to keep API keys secret and rotate them promptly if exposed, not share, resell, or publicly expose your API keys, and notify us at support@goldprice.dev with subject prefix [SECURITY] within 24 hours of any suspected key compromise.

We reserve the right to revoke or rotate API keys at our discretion to protect the Service's integrity, including in response to suspected abuse, credential leakage, or violation of these Terms.

4. Subscriptions and Billing

The Service is offered at Free, Basic ($10/mo), Pro ($50/mo), and Enterprise (custom) tiers. Billing is handled by Stripe, Inc. and is subject to Stripe's own terms. By subscribing, you authorize recurring monthly charges to the payment method on file.

Cancellation. You may cancel at any time via the Customer Portal. Cancellation takes effect at the end of the current billing period. Access continues until the period end; after that, your account downgrades to the Free tier.

No refunds. Paid subscriptions are non-refundable on a pro-rata basis for partial months. In cases of serious service disruption materially affecting your business, we may offer goodwill accommodation on a case-by-case basis, at our discretion. No automated credit or refund scheme applies.

Price changes.Prices may change with 30 days' notice via email. Your current subscription price is honored through the notice period.

Taxes. Prices shown are exclusive of applicable taxes. Stripe Tax calculates and collects VAT, GST, or sales tax per your jurisdiction at checkout.

5. Acceptable Use

You agree not to use the Service to violate any applicable law or regulation; interfere with, disrupt, or degrade the Service's availability; reverse-engineer, decompile, or access non-public portions; circumvent rate limits, authentication, or tier gating; scrape, aggregate, or bulk-export Service data beyond what your tier's rate limits and export features permit; build a substantially similar competing API product that primarily resells our data; or generate, store, or distribute content that infringes intellectual property rights, violates privacy, or is otherwise unlawful. Violation may result in suspension or termination without refund.

6. Commercial Use and Redistribution

Free + Basic tiers: personal, non-commercial, or internal-use-only. You may not redistribute data from the Service to third parties at these tiers.

Pro tier: commercial use is permitted, including embedding data in your own products and services, subject to:

  • Attribution. Provide a visible credit of the form "Powered by goldprice.dev" or a link to https://goldprice.dev on surfaces where our data is displayed. Attribution is not required for internal business use (dashboards, reports, trading logic) where data is not shown to end users. Full placement guidance: /attribution.
  • User responsibility for upstream compliance. You are solely responsible for ensuring your particular use of the data complies with the terms of any upstream source the data is derived from. Our data is aggregated from multiple public references; downstream use cases (such as investment products, regulated financial instruments, or certain commercial redistribution) may require you to obtain your own licenses directly from benchmark administrators (IBA, LBMA, CME Group, etc.). We do not grant or represent any such license.
  • No misrepresentation. You may not present goldprice.dev data as an official benchmark or as licensed directly from LBMA, COMEX, or any specific benchmark administrator.

Enterprise tier: commercial terms are negotiated in a separate written agreement that supersedes this section.

7. Data Methodology and Accuracy

Data served by the Service is produced through multi-source aggregation, reconciliation, and derivation. A detailed methodology document is published at /methodology and updated when sources or aggregation logic change.

No warranty of accuracy.Data is provided "as is." We make no warranty that the data is accurate, complete, current, or fit for any particular purpose. Do not use the Service as the sole data source for safety-critical, regulatory, or high-value financial decisions without independent verification.

Staleness and quality flags. Responses include an is_stale boolean flag indicating whether our reconciliation heuristics detect source divergence or freshness issues. Consumers are expected to check this flag and handle stale data appropriately.

Responses additionally include a sources[] array listing every upstream source that contributed to the response, each with its own price, license identifier, unit, and timestamp. Consumers may pick any source they trust rather than relying on the top-level price field.

Historical data. Pre-1971 historical price data reflects statutory pegged prices (US Mint rate, Bretton Woods) and is provided for reference context only, not for backtesting market volatility or trading logic.

8. API Access, Rate Limits, and Enforcement

Each tier includes published per-minute rate limits, monthly quotas, and feature-scope gates (historical data window, WebSocket streaming, bulk export, MCP tool depth). When you exceed a limit, the Service returns HTTP 429 with X-RateLimit-* response headers indicating the limit, remaining quota, and reset timestamp. Persistent abuse after 429 responses may result in temporary or permanent access suspension.

Rate limits are enforced per organization (via your API key → organization mapping). Sharing keys across organizations or circumventing the per-org bucket is a violation of Section 5.

9. Service Availability

We aim for 99.9% monthly uptimeat paid tiers as an operational target, not as a contractual service level agreement (SLA). Self-serve tiers (Free, Basic, Pro) carry no formal SLA, no credit scheme, and no remediation obligation at this stage of the Service's maturity.

Real-time and historical uptime data is published at https://stats.uptimerobot.com/C3aSMAxosB. Planned maintenance, incidents, and resolutions are announced on the status page and via email to affected paying customers. Enterprise customers may negotiate formal SLA terms, including credit schedules, in a separate written agreement.

10. Communications and AI-Assisted Support

Transactional emails (account notifications, billing, incident updates, welcome messages, onboarding) are sent via Resend. You cannot opt out of transactional email while maintaining an active account. Marketing emails require opt-in consent and include unsubscribe links in every message.

AI-assisted support. Customer support inquiries sent to support@goldprice.dev may be processed by third-party large language model providers (Anthropic and Google) to generate draft responses for human review. These providers operate under zero-retention terms — your support content is not used to train their models. A human reviews and approves all responses before they are sent. By contacting support, you consent to this processing.

Sensitive inquiries (security, billing disputes, legal matters) bypass AI triage and are routed directly to a human reviewer.

11. Privacy and Data Handling

See our Privacy Policy at /privacy for full details. Summary: account data (email, payment details via Stripe, API usage metadata) is retained for the duration of your account plus 90 days after closure, except where longer retention is required by law; support tickets are retained for 18 months from the date of the ticket, then auto-purged; API request logs are retained for 90 days in aggregate anonymized form for abuse detection and service improvement. On written request to support@goldprice.dev, we will delete your account and associated data within 30 days, subject to legal retention requirements.

12. Intellectual Property

You retain all rights to content and queries you submit to the Service. We retain all rights to the Service itself, including source code, aggregation methodology, derived data products, branding, and documentation. Limited license rights granted to you are described in Section 6. No other license is granted or implied.

13. Third-Party Services

The Service relies on third-party providers, notably:

  • Stripe, Inc. (payment processing)
  • Anthropic, PBC and Google LLC (AI-assisted support processing, zero-retention terms)

A full, current list of sub-processors — including hosting, database, cache, email delivery, error monitoring, and CDN providers — is maintained at /privacy/subprocessors and updated when sub-processors change. Material changes to the sub-processor list are reflected on that page without requiring a ToS revision.

Each third-party service is governed by its own terms. We are not responsible for third-party service outages, data breaches, or policy changes, though we undertake reasonable efforts to maintain continuity through monitoring, redundancy where practical, and documented incident response procedures.

14. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, fraud, abuse, or legal requirement, with or without prior notice. On termination, paid fees for the current period are non-refundable, and your data access ceases immediately (or at period end for amicable cancellations per Section 4). You may terminate your account at any time via the Customer Portal or by emailing support@goldprice.dev.

15. Disclaimers

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, or accuracy of data. We do not warrant that the Service will be uninterrupted, error-free, or that data will be suitable for your intended use.

16. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability arising from or relating to these Terms and the Service is limited to the greater of (a) the fees paid by you to us in the 12 months preceding the claim, or (b) one hundred US dollars ($100).

We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data, or business interruption. Trading losses, investment decisions made based on Service data, and downstream consequences are specifically excluded.

17. Indemnification

You agree to indemnify, defend, and hold us harmless from claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Service, (b) your violation of these Terms, (c) your violation of third-party rights, including upstream source licenses you are responsible for per Section 6.

18. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States without regard to conflict-of-laws principles. Disputes are resolved in the courts of the State of Delaware, United States, except where you have non-waivable rights to a local forum under applicable consumer law. For smaller disputes, both parties agree to attempt informal resolution via email before formal legal action.

19. Miscellaneous

Entire agreement. These Terms, together with the Privacy Policy and methodology document, constitute the entire agreement between you and us regarding the Service.

Severability. If any provision is found unenforceable, the remainder continues in effect.

No waiver. Our failure to enforce any provision is not a waiver of future enforcement.

Assignment. You may not assign these Terms without our written consent. We may assign these Terms to an affiliate or acquirer in connection with a merger, acquisition, or sale of assets.
